Terms and Conditions

Acceptance of terms and conditions

  • All agreements between Angels First Aid and the Buyer are subject to these terms and conditions to the exclusion of all other terms and conditions.
  • No variation or addition to the Terms shall be binding unless agreed in writing between Angels First Aid and the Customer.
  • The terms shall be deemed to have been accepted and agreed by the Customer upon payment as specified on the invoice.

Minimum Order

  • UK and Republic of Ireland:  £250               All other countries: £300.

New Accounts

  • Customers wishing to open an account must provide 2 trade references which must be companies who already supply you on credit, plus one bank reference giving full address and contact details. 
  • Credit accounts can be opened with an initial order of £250 or more. 
  • In applying to open a credit account with us you agree that we may contact your suppliers to take up references concerning their trade with you, and also that we may give references to other suppliers.

Carriage Paid

  • The minimum carriage-paid order to the UK Mainland is £250.  Back orders are sent carriage free when available, unless cancelled by the customer.

Export Orders

  • Carriage is at Buyer’s cost.  Back orders are normally cancelled unless we are requested to retain them for shipment when available, in which case carriage will also be charged at buyer’s cost.
  • Overseas orders will normally be supplied on a pro-forma basis.  Payment should be by cheque or draft drawn on London, or by bank transfer, in the currency of the pro-forma invoice (i.e. Sterling or Euros).

Payment

  • All credit accounts are net 30 days unless otherwise agreed and confirmed in writing by a Director of Angels First Aid Ltd.
  • Angels First Aid is happy to open a customer credit account on completion and acceptance of a credit application form, and:
    • Where 500 units or less are ordered, the Buyer shall make full payment to Angels First Aid when the order is placed.
    • For orders in excess of 500 units, 50% of the total payment shall be due when the order is placed and the remainder will be due 30 days from the date of invoice.
  • Full payment is required at the time of ordering for Buyers who do not wish to open a credit account, irrespective of the quantity of goods ordered.
  • Goods remain the property of Angels First Aid until payment is received in full.
  • Angels First Aid reserves the right to change prices without prior notification.  However, adequate notice will be given whenever possible.
  • All prices are exclusive of VAT unless otherwise stated.
  • VAT at the current rate will be added to all deliveries to a UK address.  VAT will also be added to orders for delivery to other countries within the EC unless the customer’s VAT Registration No is quoted when ordering.  Orders from outside the EU and BFPO are not subject to VAT.
  • Angels First Aid accepts Visa, Mastercard, Switch, Maestro, Delta, American Express, JCB Card.  Cheques and Postal Orders are also accepted.  Cheques should be made payable to Angels First Aid Limited and seven days should be allowed for cheques to clear.
  • All payments to Angels First Aid must be in pounds sterling or Euros, unless an export order.
  • Angels First Aid will diligently pursue overdue accounts and if our final statement is ignored then legal proceedings may be commenced without further notice.  Where legal action is undertaken defendants will become liable for our legal costs as well as statutory interest.

Delivery

  • Carriage of goods will be charged as per the current Price List.
  • Should expedited delivery be agreed and necessitate additional costs, an extra charge may be made.
  • Should an order be suspended at the request of or delayed through any default of the Buyer for a period of 30 days the Company shall then be entitled to payment for the balance of the outstanding invoice as per Angels First Aid’s Terms.

Pack Quantities

  • All items should be ordered in the pack or bulk quantities as shown in Angels First Aid’s current price list, or in multiples thereof.  Angels First Aid Ltd reserve the right to amend to the nearest multiple of a pack the order quantities of any items which have not been so ordered.

Claims

  • Claims arising from damage, delay or partial loss of goods in transit must be made in writing to Angels First Aid so as to reach them within seven days of delivery and claims for non-delivery within twenty-eight days of dispatch of the goods.  All other claims must be made to Angels First Aid within fourteen days of delivery.

Liability

  • Angels First Aid will not accept responsibility for indirect or consequential loss or for any loss to the Buyer arising from third party claims howsoever caused and whether as a result of negligence or otherwise.
  • Where the goods received are defective for any reason, including negligence, Angels First Aid’s liability (if any) shall be limited to rectifying such a defect.

Default or insolvency

  • If the Buyer defaults in any payments due to Angels First Aid, whether in respect of the contract or any other contract or agreement with Angels First Aid or ceases to pay his debts as they become due or being a Company is deemed unable to or has a winding up petition issued against it or being a person commits an act of bankruptcy or has a bankruptcy petition issued against him, Angels First Aid, without prejudice to other remedies, shall:
    • Have the right not to proceed further with the contract or any other work for the Buyer and be entitled to charge for any goods ordered, work already carried out and materials purchased for the Buyer, such charge to be an immediate debt due from him.
    • In respect of all unpaid debts due from the Buyer have a general lien on all goods and property in possession and shall be entitled on the expiration of fourteen days notice to dispose of such goods or property in such manner and at such price as Angels First Aid thinks fit and to apply the proceeds towards such debts.

Force Majeure

  • Every effort will be made to carry out the contract but its due performance is subject to cancellation by Angels First Aid or to such variation as it may find necessary as a result of an inability to secure labour, materials or supplies or as a result of an Act of God, War, Strike, Lockout or other cause beyond Angels First Aid’s control.

Law

  • These Terms and all other express conditions of the contract shall be governed and construed in accordance with the Laws of England.
